Terms & Conditions Of Service

Effective Date: January 1st, 2023

 

  1. Definitions

“Company” refers to Eazy Cleaning.
“Client” refers to the individual or entity purchasing services.
“Services” refers to commercial and residential cleaning and related services provided by the Company.
“Agreement” refers to the signed Service Agreement and these Terms & Conditions.

 

  1. Scope of Services

2.1 Services will be provided as outlined in the written quotation, proposal, or service agreement.
2.2 Any additional services not specified in the Agreement will be subject to additional charges.
2.3 The Company reserves the right to modify service methods if necessary to ensure safety, efficiency, or compliance with regulations.

 

  1. Service Schedule

3.1 Services will be performed according to the agreed schedule.
3.2 The Client must provide access to the premises at scheduled times.
3.3 If access is denied or restricted, the visit may be billed in full.
3.4 The Company reserves the right to reschedule services due to weather conditions, emergencies, or unforeseen circumstances.

 

  1. Payment Terms

4.1 Invoices are due within [7/15/30] days of issuance unless otherwise agreed in writing.
4.2 Late payments may incur interest at 2% per month (24% annually) or the maximum allowed by Ontario law.
4.3 Recurring services may be billed monthly in advance.
4.4 The Company reserves the right to suspend services for overdue accounts.

 

  1. Pricing Adjustments

5.1 Prices are based on the initial assessment of the premises.
5.2 The Company reserves the right to adjust pricing if:

  • The scope of work changes
  • The premises condition differs from initial representation
  • Additional services are requested

Written notice will be provided prior to adjustment.

 

  1. Client Responsibilities

The Client agrees to:

  • Provide safe and secure access to premises
  • Ensure utilities (water, electricity) are operational
  • Secure or remove fragile, valuable, or sensitive items
  • Inform the Company of any hazardous materials

The Company is not responsible for pre-existing damage.

 

  1. Health & Safety

7.1 The Company complies with Ontario workplace safety regulations.
7.2 The Company reserves the right to refuse services in unsafe conditions.
7.3 The Client must disclose any environmental hazards (e.g., biohazards, mold, chemicals).

 

  1. Liability

8.1 The Company carries commercial liability insurance.
8.2 Any claim for damages must be reported within 24 hours of service completion.
8.3 The Company’s liability is limited to the value of the service provided.
8.4 The Company is not liable for:

  • Normal wear and tear
  • Pre-existing damages
  • Improper installation of fixtures
  • Loss of cash or unsecured valuables

 

  1. Cancellations & Termination

9.1 A minimum of 24–48 hours’ notice is required for cancellation of scheduled services.
9.2 Late cancellations may be subject to a cancellation fee.
9.3 Recurring service agreements may require 30 days’ written notice to terminate.
9.4 The Company reserves the right to terminate services for non-payment or breach of terms.

 

  1. Confidentiality

The Company agrees to maintain confidentiality regarding Client information, business operations, and access codes.

Employees are background screened where applicable.

 

  1. Independent Contractor Status

The Company operates as an independent contractor.
Nothing in this Agreement shall be interpreted as creating an employer-employee relationship with the Client.

 

  1. Force Majeure

The Company shall not be liable for delays or failure to perform due to events beyond its reasonable control, including natural disasters, government restrictions, labor disruptions, or supply shortages.

 

  1. Governing Law

This Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

 

  1. Entire Agreement

These Terms & Conditions, together with any signed Service Agreement, constitute the entire agreement between the parties and supersede all prior discussions or representations.

 

  1. Acceptance

By signing a service agreement or accepting services from Eazy Cleaning, the Client acknowledges acceptance of these Terms & Conditions.
